The role of the M&A Manager is to lead the financial analysis and valuation activities for Pella’s acquisitions and divestitures.
This role plays a key part in facilitating deal flow, including coordination between functional diligence activities, transaction document management, and communication of deal status/rationale with key stakeholders. The role will also leverage research expertise in financial markets to bring external and competitive insights that help shape business strategy. Successful candidates must be a self-starter and strong cross-functional collaborator with a proven track record of financial modeling & analysis. They possess a curiosity and business acumen that enables them to distill analyses into meaningful, actionable insights for the business.
DUTIES AND RESPONSIBILITIES
- Financial Analysis & Valuation
This person will be responsible for performing valuation analysis on target acquisitions and divestitures using several techniques: discounted cash flow (DCF), precedent transaction & market comparable multiple analysis, underlying asset analysis. Detailed activities include forensic analysis of target financials, analysis of base business projections, and overlay of target synergies. This person will also review and analyze quarterly earnings calls from key competitors, customers, suppliers, and industry peers to inform M&A strategy.
- Deal Project Management
This person will assist the Strategy and Corporate Development Director to drive an effective and efficient M&A playbook. They will effectively generate and communicate financial analyses in an efficient and timely manner. They will assist in the management of the pipeline of potential acquisitions, coordinate due diligence activities with cross functional subject matter experts, manage files and data rooms related to deal activity, and support post-close integration activities as necessary to support key bets.
- Analytical Modeling:
Successful candidates will have extensive experience with financial modeling in excel, discounted cash flow (DCF) modeling, and advanced excel formulas, data analysis tools, and reporting.
- Critical Thinking & Reasoning:
Successful candidates are comfortable analyzing complex businesses despite incomplete or ambiguous data. Candidates will apply an investigative approach to fill in missing data and perform sensitivity analysis to explore relevant plausible outcomes.
- Financial Acumen:
Successful candidates will have a strong understanding of income statement and/or operating P&L approach to financials, including operating cash flow. Detailed understanding of balance sheet and connection to income statement and common treatment of Tax and GAAP accounting is a plus. Candidates will have experience in common approaches to variance analyses between period financials.
EDUCATION and/or EXPERIENCE:
- Degree in finance, accounting, business administration or equivalent experience. MBA is a plus.
- Minimum of 5-7 years’ experience in role directly involved in financial modeling, financial analysis, or business financial performance.
